TERMS AND CONDITIONS OF USE DEFINITIONS As used herein the following terms shall have the following meanings: "CT" means the business unit ConsultantTrack, a division of Raines International, Inc. "Member" or "You" means you the individual or other entity who is registering for membership in, and access to the CT Services under the terms of this Membership Agreement. "Membership Agreement" means all of the terms and conditions set out in this Membership Agreement, which may be amended by CT from time to time. "CT's Own Content" means all information and material offered by CT on its site including all information and text written or created by CT's employees or authorized representatives or under license to CT. "Other Content" means any other information entered into CT by Members or other persons. CT SERVICES CT provides individual members access to proprietary research tools such as dynamic compensation charts, original content (research, guides and interviews), and Other Content such as messages from other members and access to value-added third party sites. In addition, CT may contact select members regarding high-quality executive search assignments. CT will never share a member's personally identifiable information such as their profile and resume with any third parties including current clients without the expressed permission of that member. (The foregoing is collectively referred to as "the CT Services"). MODIFICATION TO SERVICES; TERMS AND CONDITIONS OF USE As a Member, you acknowledge and agree that CT may, with or without notice, modify, delete or amend the CT Services and/or Site; and that CT may further modify, delete or amend the Terms and Conditions of Use from time to time. CT will notify each Member of any modification, deletion or amendment by any means including but not limited to a posting on the Site or by electronic mail. CT shall also have the right at any time to change or discontinue any aspect of or feature of its Site or its CT Services, including but not limited to pricing, content, functionality and equipment needed for access or use. Such changes, modifications, or additions shall be effective immediately upon notice to each Member, which notice may be given by any means including but not limited to a posting on the Site or by electronic mail. Any use of the Site or the CT Services following such notice shall be deemed to be Your acceptance of the changes, modification, additions, deletions or amendments to the CT Services, the Site or the Terms and Conditions of Use. REGISTRATION AND PASSWORDS Your membership in the CT Services is for your sole, personal use. Any use of the CT Services by a third party (e.g. friend, colleague) who uses your password to access the CT Services is a violation of this Agreement, and CT, at its sole discretion, may terminate this Membership Agreement, and your membership in, and access to the CT Services. You may not authorize others to use your membership, and you may not assign or otherwise transfer your account to any other person or entity. As a Member, you agree to provide current, complete, and accurate information in the Profile section of the Site. You also agree to update information so that it is current, as needed. You may not use any device, software or practice to interfere or attempt to interfere with the proper working of the Site or any information contained on the Site. You agree to immediately notify CT of any known or suspected violation of this agreement and any misuse to CT's Site or system security. CT is not responsible for any unauthorized use or misuse of the system by any person using a valid or invalid password. PRIVACY CT is fully committed to protecting the privacy and confidentiality of information of our Members. We do not disclose information about your individual visits to CT, or any personally identifiable information that you provide, such as your name, address, email address, telephone number, etc., to any outside parties, except when required under the law. CT may, from time to time, use information you provide as part of the Profile section to contact you regarding job opportunities or other products or services from CT that may be of interest to you. When you register with CT under our Profile area, your E-mail address is added to our electronic mailing list so that, from time to time, we can send you information about new features, additions, and changes to our Web site. NO WARRANTIES/LIMITATIONS ON LIABILITY CT provides its services on an as-is basis, without warranty of any kind, express or implied including, without limitation, any warranty for information, services or products provided through or in connection with CT. You expressly acknowledge and agree that your use of the CT Services and the site are at your own sole risk. CT makes no warranties that the CT Services or site will meet your requirements or that the CT Services will be uninterrupted, timely, secure, virus-free, error-free, accurate or reliable; nor does CT make any warranty as to any information that may be obtained through the CT Services or site, that defects in the software for the CT Services will be corrected or that the site is free of viruses or other harmful components. Please be aware that the information, software, products and CT Services displayed and offered on this site may include inaccuracies, typographical errors or out-of-date information. CT may make changes or additions to this site at any time at its sole discretion. Nothing on this site is deemed to be an endorsement, representation or warranty with respect to any company, member or other third party, whether in regard to its web site, products, services or otherwise. CT acknowledges that its Members will be providing to CT, and posting on the Site personal information, and it hereby disclaims any responsibility for the use or misuse of such information by a Member that violates any law or the personal privacy of any other Member. CT is not the publisher or author of any works posted by Members. CT does not approve or edit any content posted by Members. CT disclaims all liability for violating any copyrights or other rights in such works and all responsibility for them. CT will archive postings for the purpose of providing useful or important information to its members on an ongoing basis. Such archives will also be used to minimize system downtime in the event of a malfunction. By posting your content on the CT Site, you are giving us permission to copy and/or store your postings for these purposes. CT is not responsible for the content on the Internet or World Wide Web pages that is contained outside CT's site. As a convenience to our members, CT provides links to many resources, which are beyond our control. We make no representations as to the quality, suitability, functionality or legality of any sites to which we may provide links, and you hereby waive any claim you may have against CT with respect to such sites. In addition, CT disclaims all liability, regardless of the form of action, for the acts or omissions of other members or users (including unauthorized users, or "hackers") of the CT Services. INDEMNITY Because, as a Member, you are responsible for your own use of the CT Services and Site, and any consequences resulting from such use, You agree to defend, indemnify and hold harmless CT, and its affiliates, officers, directors and employees for any and all claims and demands including attorneys' fees, due to or arising from your use of the CT Services and other conduct related in any to the CT Services or the Site, including but not limited to breaching any warranty or provisions contained in these Terms and Conditions of Use. PROHIBITED USES CT hereby grants You a non-exclusive, non-transferable license to access and use the CT Services under the terms described in this Agreement. Only You may access and use the CT Services. All editorial content and graphics on this site, as well as the HTML based computer programs used to generate pages, and the web site are protected by U.S. Copyright laws and international treaties and may not be copied without the express permission of CT which reserves all rights. Any re-use, reproduction or display of any of the CT Content for any purpose is strictly prohibited without CT's written permission. Please direct any requests for permission to contact@consultanttrack.com. By registering with CT for the CT Services, you agree not to upload or distribute in any way any files that contain viruses, corrupted files or any similar software or programs that may damage the operation of anyone else's computer, the CT Services or the Site. You agree not to interfere or disrupt networks connected to the CT Services and the Site. Any attempt by you to gain unauthorized access to any computer system, including accounts or databases maintained by and for CT is strictly forbidden. You agree to comply with all applicable laws relating to such conduct and all laws, rules and regulations regarding transmission of technical data exported from the United States. If you engage in any activity set forth in this paragraph or violate any of the Terms and Conditions of Use, your account will be terminated and your use of the CT Services and Site prohibited. CT will report such conduct to the appropriate authorities. MEMBER'S CONTENT Members providing any information or content to CT or posting any information or content on the Site are solely responsible for the content of that material. CT is not responsible for Other Content, including the content of any messages or information posted by Members or others, or for the content or information accessible via direct or indirect hyperlinks from CT. You acknowledge that any reliance on material posted by other members will be at your own risk. CT retains the right, which it may or may not exercise in its sole discretion, to review, edit, or delete Other Content, which CT deems to be illegal, offensive, or otherwise inappropriate. LINKS This site may contain hyperlinks or other connections to Web sites operated by parties other than CT, including but not limited to those of CT's Strategic Partners and agencies or its advertisers (individually or collectively, as the case may be). CT does not control these sites and is not responsible for them, including their availability, content or any viruses accessed through them. TERM AND TERMINATION Access to the CT Services will become effective upon your registration for the CT Services, and CT's acceptance of this registration. Your access to the CT Services will continue until terminated as described elsewhere in this Agreement. CT reserves the right, at its sole discretion, to immediately terminate your registration with or ability to access the CT Services and/or any other service provided to you by CT, at anytime and for any reason including but not limited to any breach by you of this Agreement. OWNERSHIP, LICENSE AND RESTRICTIONS ON USE CT is the owner of all intellectual property rights (including copyrights) on the CT Web site. Material published by CT on this site may contain other proprietary notices or describe products, services, processes or technologies owned by CT or third parties. Nothing in these terms or on the site shall be construed as granting to you a license under any copyright, trademark, patent or other intellectual property right of CT or any third party, except as expressly set forth herein. The deletion or alteration of any copyright or other proprietary notices from the CT Site is strictly forbidden. "ConsultantTrack", "ConsultantTrack.com," and our Logo, and certain other names or logos are trademarks of Raines International, Inc. and all related product and service names, design marks and slogans are the trademarks or service marks of Raines International, Inc. All other product and service marks contained herein are the trademarks of their respective owners. The "look and feel" of the CT Site (including color combinations, button shapes, layout, design and all other graphical elements) are also the exclusive property of Raines International, Inc., including any copyrights, trade dress or trademarks. GOVERNING LAW This Agreement, your rights and obligations, and all actions contemplated by this Agreement shall be governed by the laws of the United States of America and New York State, as if the Agreement was a contract wholly entered into and wholly performed within New York State. Acceptance of the Terms and Conditions of Use This Agreement constitutes the entire agreement between the parties relating to the CT Services and supersedes any and all other agreements, oral or in writing, with respect to the CT Services. The failure of CT to insist upon strict compliance with any term of this Agreement shall not be construed as a waiver with regard to any subsequent failure to comply with such term or provision. This Agreement is personal to you, and you may not assign your rights or obligations to anyone. If any provision in this Agreement is invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect.
